This End User License Agreement ("Agreement" or "EULA") is a binding legal contract between you, either as an individual or on behalf of the legal entity that licenses or deploys the Software ("Customer", "you"), and 3f-solutions – Felix Lößl, Cologne area, Germany ("3f-solutions", "we", "us"), governing your use of the software product 3f-solutions Redact for Microsoft Dynamics 365 Finance and Operations ("the Software"), including its deployable package, license file, documentation, and any updates we provide.
1. Acceptance and Scope
By installing, deploying, or using the Software, you confirm that you have read this Agreement, agree to be bound by it, and that you have the authority to enter into this Agreement on behalf of your organization. If you do not agree, do not install, deploy, or use the Software.
This Agreement is concluded directly between Customer and 3f-solutions. The acquisition of the Software via the Microsoft Marketplace does not make Microsoft Corporation or any of its affiliates a party to this Agreement.
2. Grant of License
Subject to the terms of this Agreement and the timely payment of any agreed license fee, 3f-solutions grants Customer a non-exclusive, non-transferable, non-sublicensable, time-limited license to install and use the Software solely within Customer's own properly licensed Microsoft Dynamics 365 Finance and Operations environment, as identified in the license file issued to Customer's Microsoft Entra tenant identifier.
The license covers one production tenant. Use in non-production environments (sandbox, test, golden config) that belong to the same Customer organization and the same Microsoft Dynamics 365 license is included. Use in additional tenants requires a separate license.
3. Restrictions
Customer shall not, and shall not permit any third party to: (a) sublicense, sell, resell, rent, lease, lend, or otherwise distribute the Software or any part of it; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of the Software, except to the extent expressly permitted by applicable mandatory law; (c) modify, adapt, translate, or create derivative works based on the Software; (d) remove, alter, or obscure any proprietary notices, labels, or trademarks contained in or on the Software; (e) use the Software outside the scope of Customer's Microsoft Dynamics 365 license, or in any manner that violates applicable law; (f) use the Software to provide commercial hosting, time-sharing, or service bureau services to third parties.
4. Intellectual Property
The Software is licensed, not sold. All intellectual property rights in and to the Software, including all copyrights, patent rights, trade secrets, trademarks, and know-how, remain the exclusive property of 3f-solutions or its licensors. No ownership rights or implied licenses are transferred to Customer under this Agreement. All rights not expressly granted are reserved by 3f-solutions.
Microsoft, Microsoft Dynamics 365, Microsoft Dynamics 365 Finance and Operations, and Microsoft AppSource are trademarks of Microsoft Corporation. 3f-solutions claims no rights in these trademarks and uses them only to identify the platform on which the Software runs and through which it is distributed.
5. License Term, Updates and Maintenance
The Software license is granted for the term stated in Customer's individual license confirmation (typically 12 months). Upon expiry of the license term, the Software will cease to function until the license is renewed. 3f-solutions may, at its discretion, provide updates to the Software (including platform-compatibility updates required to remain aligned with Microsoft Dynamics 365 Finance and Operations platform releases). Updates delivered under this Agreement are subject to the same terms as the original Software.
6. Data Processing, Privacy, and GDPR Compliance
The Software operates entirely within Customer's own Microsoft Dynamics 365 Finance and Operations environment. Its purpose is to irreversibly anonymize or pseudonymize personal and sensitive data within that environment. No customer data, personal data, or any other data processed by the Software is collected, transmitted, or stored by 3f-solutions. All data processed by the Software remains within Customer's Microsoft Dynamics 365 environment. 3f-solutions has no technical access to Customer's data at any time.
For the purposes of the General Data Protection Regulation (GDPR / DSGVO), Customer is the data controller (Verantwortlicher) in respect of all personal data processed using the Software. 3f-solutions does not process Customer's personal data on Customer's behalf. Consequently, no data processing agreement (Auftragsverarbeitungsvertrag / AVV) pursuant to Article 28 GDPR is required between Customer and 3f-solutions in relation to the Software license.
Customer is solely responsible for the correct configuration of the Software, including the selection of data fields, entities, and redaction rules. Customer is further solely responsible for ensuring that the use of the Software — including all configuration decisions and the execution of redaction runs — complies with all applicable data protection laws (including the GDPR), internal policies, and contractual obligations. 3f-solutions does not provide legal or compliance advice and makes no representations regarding Customer's compliance obligations. 3f-solutions expressly excludes any liability for damages arising from Customer's misconfiguration of the Software.
The Software includes comprehensive audit logging: every search and deletion operation is recorded with user identity, timestamp, applied filters, and affected records. This audit log is stored exclusively within Customer's Microsoft Dynamics 365 environment and is not accessible to 3f-solutions.
Personal data that Customer provides directly to 3f-solutions in connection with licensing, support, or business communication is processed in accordance with our privacy policy, available at www.3f-solutions.de/isv/privacy-policy.
For information on how Microsoft processes data within Microsoft Dynamics 365 and the Microsoft Marketplace, please refer to Microsoft's own privacy documentation. 3f-solutions is not responsible for the processing activities of Microsoft or any other third-party service to which Customer connects the Software.
7. Warranty Disclaimer
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. 3f-solutions specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. 3f-solutions does not warrant that the Software will be error-free, uninterrupted, secure, or that it will meet Customer's specific requirements. Mandatory statutory warranty rights under German law remain unaffected.
Customer acknowledges that redaction is an irreversible operation. 3f-solutions expressly disclaims any liability for data loss resulting from Customer's use of the Software. Customer is solely responsible for maintaining appropriate backups prior to executing any redaction run.
8. Limitation of Liability
To the maximum extent permitted by applicable law, 3f-solutions shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with this Agreement or the use of or inability to use the Software, regardless of the legal theory on which the claim is based and even if 3f-solutions has been advised of the possibility of such damages.
The aggregate liability of 3f-solutions under this Agreement shall in no event exceed the fees actually paid by Customer to 3f-solutions for the Software in the twelve (12) months preceding the event giving rise to the claim.
The above limitations do not apply to liability arising from intent, gross negligence, injury to life, body, or health, or any other liability that cannot be limited or excluded under German mandatory law (including the German Product Liability Act).
9. Term and Termination
This Agreement is effective on the earlier of (i) the date Customer first installs, deploys, or uses the Software, or (ii) the effective date stated in Customer's individual license confirmation, and remains in force until terminated.
This Agreement terminates automatically and without notice if Customer breaches any material term. 3f-solutions may also terminate this Agreement on written notice if any required license fee remains unpaid after a reasonable cure period. Upon termination, Customer must immediately cease all use of the Software, uninstall the deployable package from all environments, and securely delete all copies of the Software, the license file, and any related materials.
Sections 3 (Restrictions), 4 (Intellectual Property), 7 (Warranty Disclaimer), 8 (Limitation of Liability), 10 (Governing Law), and 13 (Contact) survive termination.
10. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising out of or in connection with this Agreement is Cologne, Germany, to the extent permitted by law. Mandatory consumer protection laws of Customer's place of residence remain unaffected.
11. Microsoft Not a Party
Customer acknowledges that Microsoft Corporation and its affiliates are not parties to this Agreement and have no obligations or liability whatsoever to Customer or any third party with respect to the Software. Microsoft does not provide support, warranty, or maintenance for the Software, except where Microsoft is contractually obliged to do so under a separate agreement with Customer for the underlying Microsoft Dynamics 365 services. Customer's relationship with Microsoft regarding the use of Microsoft Dynamics 365 and the Microsoft Marketplace is governed exclusively by Microsoft's own terms.
12. General
Entire Agreement. This Agreement, together with the license confirmation issued to Customer, constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous communications and proposals regarding its subject matter.
Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by a valid provision that comes closest to the original economic intent.
No assignment. Customer may not assign or transfer this Agreement or any rights under it without the prior written consent of 3f-solutions.
Export control. Customer agrees to comply with all applicable export control and sanctions laws, including those of the European Union and the Federal Republic of Germany, in connection with the use of the Software.
